Terms of Service

These Terms of Service (“Terms”) are a legally binding agreement between you and Zuko Ventures LLC (“Zuko”, “we”, “us”, or “our”). By accessing or using the Service, you agree to these Terms.

If you do not agree, do not use the Service.

1. Definitions

  • “Service” means our website(s), applications, tools, and related services, including the Store and the Platform.
  • “Store” means the public storefront available at zukoco.com.
  • “Platform” means the creator platform available at main.zukoco.com.
  • “User” means any person who accesses or uses the Service.
  • “User Content” means any content you submit to the Service, including dog/pet photos and text.
  • “Generated Content” means any AI-generated images, designs, mockups, product listings, and similar outputs created by or through the Service.
  • “Creator Program” means our optional rewards/creator fund program and referral program (if available).

2. The Service

The Service allows you to upload photos of your dog (or other pet) and generates designs and product listings that may be offered for sale in our Store. Products created through the Service are public and may be purchasable by anyone.

We use third-party providers for ecommerce, production, and fulfillment (including Printify and their print providers). Payments are processed through Stripe.

3. Eligibility and Accounts

You must be at least 18 years old to use the Service. By using the Service, you represent that you meet this requirement.

The Service is intended for users located in the United States, Canada, and Israel. We do not knowingly serve residents of the European Union, European Economic Area, or the United Kingdom. By using the Service, you represent that you are located in the United States, Canada, or Israel.

We currently support Google sign-in. You are responsible for keeping your account secure and for all activity under your account.

We may suspend, restrict, or terminate accounts that violate these Terms or attempt to misuse the Service (including by creating multiple accounts to bypass limits).

4. User Content and Your Responsibilities

4.1 You must own or control the rights to your photos

You may only upload photos and content that you legally own or have permission to use. You are responsible for your User Content and any consequences of uploading it.

4.2 Prohibited content

You may not upload User Content that is illegal, infringes intellectual property rights, violates privacy, contains hateful or harassing material, or otherwise violates our Acceptable Use Policy.

4.3 License you grant to us

By uploading User Content, you grant Zuko a worldwide, perpetual, irrevocable, royalty-free, sublicensable, transferable license to use, host, store, reproduce, modify, create derivative works from, distribute, publicly display, and otherwise use your User Content for the purpose of operating, improving, promoting, and providing the Service and selling products that include User Content and/or Generated Content.

You acknowledge that this license includes the right to display your designs and product mockups publicly in the Store.

4.4 AI processing of your content

By uploading User Content, you acknowledge and agree that your photos and other content may be processed by third-party AI services (such as OpenAI) to generate designs, extract visual features, and create product artwork. These AI providers may process your images on servers located outside your country of residence.

5. Generated Content, Listings, and Ownership

5.1 Ownership

To the maximum extent permitted by law, Zuko owns all Generated Content, product listings, mockups, and store collections created through the Service. You do not acquire ownership rights in Generated Content or store listings.

5.2 Limited personal license to view and share

We grant you a limited, personal, non-exclusive, non-transferable, revocable license to view and share Generated Content for non-commercial purposes (for example, sharing a product page with friends). You may not sell, license, distribute, or commercially exploit Generated Content outside the Service without our prior written permission.

5.3 Public store and product listings

Products created through the Service are public in the Store. You may choose to opt in or opt out of the Creator Program (if available), but you cannot remove products or listings generated through the Service from the Store under normal circumstances. If you believe a listing contains your personal data and you wish to exercise your rights under applicable privacy laws, you may contact us and we will review your request. In such cases, we may anonymize or modify listings rather than fully removing them.

6. Creator Program (Optional)

If you opt into the Creator Program, you may be eligible to earn rewards or commissions from sales as described in the Creator Program Terms, Commission Calculation Page, and Payout Policy. Those documents are incorporated by reference into these Terms.

We may modify, suspend, or terminate the Creator Program at any time, with or without notice, subject to applicable law.

7. Purchases, Payments, and Taxes

7.1 Customer checkout

Product purchases are processed through Stripe (or other payment processors we may enable). Prices, shipping charges, and applicable taxes will be shown at checkout.

7.2 Production and fulfillment

Products are produced on-demand and shipped by third-party print providers through Printify. Production times and shipping times vary by product and destination.

7.3 Taxes

You are responsible for any taxes you owe related to your purchases or participation in the Creator Program. We may collect and remit applicable taxes where required. If you earn rewards, you are responsible for reporting that income.

8. Refunds and Returns

Because products are made to order, refunds and returns are limited. Our Refund Policy explains when you may be eligible for a replacement or refund (generally for defective, damaged, or incorrect items reported within the required time window).

9. Acceptable Use

You agree to comply with our Acceptable Use Policy. We may remove content, restrict access, or suspend/terminate accounts for violations.

10. Third-Party Services

The Service integrates with third-party services such as Printify, Stripe, OpenAI, Cloudflare, and others. Your use of those services may be subject to their own terms and policies. Zuko is not responsible for third-party services outside our control.

11. Disclaimers

The Service and all Generated Content are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory. AI outputs may be inaccurate or unexpected. We do not guarantee that Generated Content will meet your requirements or that products will be error-free. We disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

To the maximum extent permitted by law, Zuko will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service or purchase of products.

To the maximum extent permitted by law, our total liability for any claim will not exceed the greater of (a) $50 USD or (b) the amount you paid to Zuko in the 6 months before the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited by applicable law, including liability for fraud, gross negligence, willful misconduct, or death or personal injury caused by negligence.

13. Indemnification

You agree to indemnify and hold harmless Zuko from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from (a) your User Content, (b) your violation of these Terms, or (c) your negligence or willful misconduct in connection with the Service. This obligation applies only to the extent that the claim is caused by your actions or omissions.

14. Dispute Resolution

14.1 Informal resolution first

Before filing any formal claim, you agree to contact us at support@zukoco.com and attempt to resolve the dispute informally for at least 30 days. Most disputes can be resolved this way.

14.2 Binding arbitration

If informal resolution fails, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. Arbitration will be conducted in English. The arbitrator's decision will be final and binding.

14.3 Small claims exception

Either party may bring an individual action in small claims court if the claim qualifies.

14.4 Class action waiver

You and Zuko agree that each may bring claims against the other only in your or its individual capacity, not as a plaintiff or class member in any class, consolidated, or representative action. If this waiver is found unenforceable, the entire arbitration provision shall be void.

14.5 Statute of limitations

Any claim arising under these Terms must be filed within one (1) year after the cause of action arises, or it is permanently barred.

14.6 Canadian residents

If you are a resident of Canada, the arbitration agreement and class action waiver in this Section 14 apply only to the extent permitted by the laws of your province of residence. Nothing in these Terms is intended to override mandatory consumer protection rights granted by Canadian provincial law.

15. Termination

You may stop using the Service at any time. We may suspend or terminate your account if you violate these Terms, if we suspect fraud or abuse, or if we discontinue the Service. Sections that by their nature should survive termination will survive, including Sections 4.3 (license), 5 (ownership), 11–14 (disclaimers, liability, indemnification, disputes), and 16 (governing law).

16. Governing Law and Venue

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law rules. For any claims not subject to arbitration, you agree that any dispute will be brought in the state or federal courts located in Wyoming, and you consent to their jurisdiction.

17. General Provisions

17.1 Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

17.2 Entire agreement

These Terms, together with the Privacy Policy, Acceptable Use Policy, Refund Policy, Shipping Policy, and (if applicable) the Creator Program Terms, Commission Calculation Page, and Payout Policy, constitute the entire agreement between you and Zuko regarding the Service and supersede all prior agreements and understandings.

17.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. A waiver of any term will only be effective if in writing and signed by Zuko.

17.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations without restriction.

17.5 Force majeure

Zuko will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to natural disasters, pandemics, acts of government, supply chain disruptions, third-party service outages, carrier delays, or internet failures.

17.6 Notices

We may send you notices via email to the address associated with your account. You may send us legal notices to our mailing address listed below. Notices are deemed received when sent by email or 3 business days after mailing.

17.7 Electronic agreement

You consent to receiving these Terms and all related documents electronically. Your use of the Service after we post updated Terms constitutes your acceptance of the updated Terms.

18. Changes to These Terms

We may update these Terms from time to time by posting an updated version and changing the “Last Updated” date. For material changes, we will make reasonable efforts to notify you (such as by email or a notice on the Platform). Your continued use of the Service after changes become effective means you accept the updated Terms.

19. Donations

We commit to donating 10% of eligible sales to animal welfare organizations. Donation amounts are calculated based on net sales (excluding taxes, shipping, refunds, and chargebacks). Donations are made periodically and at our discretion to selected organizations. We reserve the right to modify or discontinue this program at any time.
